Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the RenewalFlow platform ("Service"), operated by OAZO Technologies Inc. ("OAZO", "we", "us"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

If you are using the Service on behalf of an organization ("Subscriber"), you represent that you have authority to bind that organization to these Terms.

2. Description of Service

RenewalFlow is a software-as-a-service platform that uses artificial intelligence to process insurance renewal documents. The Service includes:

  • Automated extraction of data from uploaded insurance documents
  • Analysis of rates, benefits, and claims data
  • Generation of renewal reports and comparison documents
  • AI-assisted chat for renewal review and editing

3. Account Registration and Access

Access to the Service requires an account provisioned through your Subscriber organization. You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activity that occurs under your account
  • Notifying your organization administrator immediately of any unauthorized use

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Acceptable Use

You agree not to:

  • Use the Service for any purpose other than processing insurance renewal documents authorized by your Subscriber organization
  • Upload documents you are not authorized to process
  • Attempt to access data belonging to other organizations
  • Reverse-engineer, decompile, or attempt to extract the source code of the Service
  • Use the Service to store or process data unrelated to insurance renewals
  • Interfere with or disrupt the integrity or performance of the Service
  • Circumvent any access controls, security features, or usage limits
  • Use automated scripts or bots to access the Service except via published APIs

5. Data Processing and Privacy

OAZO acts as a data processor on behalf of the Subscriber organization (the data controller). Our processing of personal data is governed by:

  • Our Privacy Policy
  • Any Data Processing Agreement ("DPA") executed between OAZO and the Subscriber
  • Applicable privacy legislation, including PIPEDA and provincial privacy laws

Subscribers are responsible for ensuring they have lawful authority to upload and process personal information through the Service, including any Protected Health Information (PHI) contained in insurance documents.

6. Confidentiality

We treat all data uploaded to the Service as confidential. We implement industry-standard security measures including encryption at rest and in transit, multi-tenant data isolation, role-based access controls, and comprehensive audit logging. See our Trust Center for details.

7. Intellectual Property

Our IP: The Service, including its software, algorithms, user interface, and documentation, is owned by OAZO Technologies Inc. and protected by intellectual property laws. These Terms do not grant you any ownership rights in the Service.

Your Data: You (or your Subscriber organization) retain all ownership rights to data uploaded to and generated by the Service. We claim no ownership of your documents, extracted data, or generated reports.

8. AI-Generated Content

The Service uses artificial intelligence to extract data and generate documents. While we strive for accuracy, AI-generated content may contain errors. You are responsible for reviewing and verifying all extracted data and generated documents before relying on them for business decisions.

OAZO does not guarantee the accuracy, completeness, or fitness for purpose of AI-generated outputs. The Service is a tool to assist insurance professionals, not a replacement for professional judgment.

9. Service Availability

We aim to maintain high availability of the Service but do not guarantee uninterrupted access. We may temporarily suspend the Service for maintenance, updates, or security patches. We will provide reasonable advance notice of planned downtime when possible.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OAZO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOUR SUBSCRIBER ORGANIZATION TO OAZO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless OAZO from any claims, damages, or expenses arising from: (a) your violation of these Terms; (b) your upload of data you were not authorized to process; or (c) your use of the Service in violation of applicable law.

12. Termination

Either party may terminate the Service relationship at any time. Upon termination:

  • Your access to the Service will be revoked
  • You may request export of your data within 30 days
  • After 30 days, we will delete your data in accordance with our retention policy
  • Provisions that by their nature should survive termination will remain in effect

13. Modifications to Terms

We may update these Terms from time to time. Material changes will be communicated to Subscribers via email or in-platform notification at least 30 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

16. Entire Agreement

These Terms, together with the Privacy Policy and any executed DPA or subscription agreement, constitute the entire agreement between you and OAZO regarding the Service.
